Transaction Manager to join Obton | Legal Team in M&A, Project Finance & Development department, Aarhus

Due to global growth, we are looking for a new colleague to join the Legal Team for M&A and Finance transactions, as an international Transaction Manager, for our office in Aarhus.

The Transaction Manager shall ensure that the execution of a transaction is successfully completed participating in the review, negotiation and closing of new contracts.

The candidate has the responsibility to assure that the acquisition and/or finance transaction keeps on going, fulfilling with the deadlines, and satisfying all parties’ requirements.

The Transaction Manager shall furthermore ensure that the contractual obligations and identified risk are well taken over by the integration team or asset managers and financial controllers when the transaction is closed.

Your main responsibilities:

  • Participate in contract negotiations.
  • Review of contracts and drafting other legal and corporate documents related to projects’ acquisition and financing.
  • Assist with the closing of transactions, helping with the accomplishment of conditions precedent and conditions subsequent.
  • Follow up on contractual obligations and assure correct communication with the relevant teams in charge of the risk management and company management.
  • Analyze of Due Diligence reports and follow up identified risks and mitigations.
  • Assist with the change of control procedures and/or termination of exiting finance contracts carried out with international financial institutions.
  • Communication with an international network of lawyers, advisors, and financial institutions.
  • Support in general the Legal Director.

General expectations of competences and experience:

  • Experience required within international transactions (M&A, contract management, finance etc.).
  • Preferably a legal background in M&A and/or Project Finance.
  • Preferably experience within renewable energy.
  • Willing to relocate to Aarhus Denmark - or driving distance from here - if not already based here.
  • Great communicative skills in English both written and verbally (not necessarily Danish speaking but with interest to learn Danish. Other additional languages will be positively considered).
  • Focused on detail and very accurate and structured.
  • Focus on business.
